Important information for members: Bylaw amendment

Friends of Killarney Park (FOKP) is incorporated in the province of Ontario as a not-for-profit organization. On a regularly scheduled basis, FOKP signs an agreement with Ontario Parks that outlines the activities that FOKP may engage in. Roles and responsibilities are clearly defined and the Board of Directors (Board) makes decisions that are aligned with the terms of the agreement.
The Board executes its governance responsibilities based on approved policies and procedures and a committee structure. Board committees include: Executive (President, Vice President, Treasurer and committee Chairs), Governance, Finance, Development, Communications and Projects & Programs. In the fall, the Board meets for two days to plan the upcoming year. Each committee updates their work plans, which are approved by the Board. The Governance Committee ensures that policies and procedures are adhered to, reviewed, and refreshed on a regular basis.
Members of FOKP are voting members, and can attend the Annual General Meeting (AGM) to vote on elections, amendments to bylaws, and the appointment of an auditor. This is classed as an open membership. There are approximately 230 members of FOKP and, on average over the last 10 years, 30 attend the AGM as voting members.

Issue
FOKP was incorporated under the Ontario Corporations Act. The Ontario Not-for-Profit Corporations Act, 2010 (ONCA) will replace the Ontario Corporations Act and is expected to be pro-claimed in 2016. Visit ontario.ca for more information.

Recommendation
After careful discussions over a three-year period, the Board has approved a bylaw amendment. This amendment will be put forward to the membership for a vote at the AGM on July 2, 2016 at 10 a.m. at the George Lake amphitheatre in Killarney Provincial Park.
The Board has taken the following into account:
Each member in good standing, whether individual, corporation, unincorporated associations, partnership or other legal entity, shall be entitled to one (1) vote on each question arising at any special, annual or general meeting of the members of the Corporation and he/she may vote by proxy. Such proxy must be a voting member and shall produce and deposit with the Secretary sufficient appointment in writing from his/her constituent(s).
- the low participation of general members in the governance of FOKP
- the importance of maintaining centralized and streamlined decision-making
- the risk of having a small minority of general members planning a hostile takeover, taking FOKP in a new direction, and depleting capital reserves on frivolous initiatives
- the need to efficiently and effectively manage our administrative requirements
